Resolved !!!!
After Upgrading to SEP11.RU5 from MR.MP2 the below error resolved.
Make sure that the server is running and your session has not timed out.
If you can reach the server but cannot log on, make sure that you provided the correct parameters.
If you are experiencing network issues, contact your system administrator. ErrorCode: 0x80020000 [Site: Site name] [Server: Server Name]

August 15, 2009 7:34:59 PM IST: Failed to connect to the server.
Note:- Do not upgrade the server by taking Remote Desktop, VNC, Dameware. Use Console or ILO to upgrade the server.

Just want to add up that did the upgrade in Remote Desktop & it worked... & i am sure that i was not is console mode... May be some times it gives error and some time not..
I also agree that it is always better to be in console mode when doing upgrade.
