Upgrading Backupexec 2010 to Backupexec 2012

1.  Are there any know issues when upgrading?

2.  Do I need to reinstall all my agents when upgrading?  (should I uninstall the agents first)?

3. I currently have 2 "Backup Exec 2012 Agent for Applications and Databases" Licenses one for exchange and one for SQL.  Do I need to purchase another one for Active Directory, if I want to back that up too?  If so do I need to get a full or upgrade license?

Known issues:

Set the filter to Backup Exec and Upgrade.

Once you upgraded BE to 2012, push out the remote agents also.

If you want to do granular restores of AD objects, then you need another Applications & Databases agent. Otherwise RAWS license is enough.

PS: Before upgrading to BE 2012, i recommend you to install it in a test setup and try to get familiarize with the interface and features added to it and removed from it, as it is entirely different from earlier versions of BE.
