There are a number of things to think about.
- Is this for Open and Closed Tickets?
- Do you have the same Groups set up in both systems?
- Closed: Are you looking to do a SQL to SQL? Might be worth looking at the following article as you could amend the SQL to get data from TrackIt

There are a number of posts on here about creating a Ticket using IncidentManagement asmx
Workflow is a great solution for doing the whole job, we've done a number of migrations from various different products, as it allows a lot of flexibilty to configure what happens for different tickets.
